GENERAL BUSINESS TERMS< < <

NaviPro U.S. LLC. (seat: 8306 Mills Drive, Suite 106, MIAMI, FL 33183, EIN: 26-3772513) – hereinafter: NaviPro, Publisher or NaviPro US – undertakes to publish advertisements intended to be released in the database maintained by NaviPro in accordance with the below Order Conditions (hereinafter Conditions).

Order conditions

1. Advertisements may be published in the publications (hereinafter: “NaviPro GPS database”) released or issued in the care of NaviPro US (or non-US NaviPro companies or jointly NaviPro Group) pursuant to the contract – “advertisement agreement or order or online order” –concluded between NaviPro US and the advertising company (hereinafter: Customer). By this advertisement agreement the Parties set forth the conditions of publishing specific advertisements, paying the advertisement fee and that of the specific discounts provided by NaviPro US.

2. A specific advertisement may be ordered in writing by filling out NaviPro US`s form developed for this purposes (“order form”) or by completing the online order available on the www.naviproUSA.com website. The order includes: the intended publishing period, the subject of the advertisement, the topical place of the issue, the required additional information (see form) and the required data of the Customer, in case of a company reselling advertisements, the name of the represented company, the quantity of the POI(s), price per piece and, as the sum of the above, the total payable purchase price.
The publishing period is counted from the date of publishing (issue or release). The issue date of the advertisement(s) which the Customer intends to publish in the NaviPro databases are adjusted to the “release” date. The upcoming release date will be advertised on the www.naviproUSA.com website. NaviPro, however, undertakes that it will release all authenticated and financially settled orders in its own databases no later than on the 30th calendar day of the performance.
The Customer acknowledges that it was informed relevant to the legal standing of NaviPro Group, the Garmin, iGO, etc. GPS-system, and the ordered smartPOI /rich POI and POI displaying potentials. NaviPro Group (and accordingly NaviPro US as well) represents that, as the owner of the smartPOI trademark, it is entitled to display the registered data under the same (and related) domain names and will make those downloadable in its own database (naviproUSA.com,  downloadPOI.com and naviproGPS.com); furthermore richPOI.com, smartPOI.com, GPSadvertisement.com and downloadrichPOI.com are related sites as well.
The number of downloads ascertained/presumed on the basis of the number of GPS-device purchasers/users is not identical to the number of the actual downloads. NaviPro US does not undertake any liability for the number of the actual downloads, but will take all reasonable measures in its capacity to increase the number of such downloads.
POI displays in the given navigation systems and the scope of the available services depend on the specifications of the equipment and the applied software, thus certain data may not be displayed or may be available in different forms in the various systems ((POI and rich POI likewise).
In the POI systems the fee of editing, organizing and ensuring downloadability are included in the advertisement fee. The fee also includes the consideration of converting the data into a displayable format and of the data maintenance performed once per year.

NaviPro US undertakes to display the timely delivered, financially performed advertisement which has non-objectionable content in its own database in accordance with this agreement.
If releasing the advertisement fails due to reasons attributable to NaviPro US, as substantiated by the parties, then NaviPro US will not be entitled to claim the advertisement fee. NaviPro US retains the right to set customized release deadlines in case of unique, irregular images and to apply customized prices in this respect or independent from the above. NaviPro US shall not be liable if the advertisement cannot be released pursuant to the terms of the prior agreement due to reasons attributable to the advertiser and/or the late submission of the advertisement. NaviPro US will endeavor to release the advertisement in its own system as determined in its advertisement action schedule even in case of the Customer delay.
Own system, database shall mean any and all formats, database, image, audio, html, text files etc. appearing on the www.naviproUSA.com,  www.naviproGPS.com, www.smartPOI.com, www.richPOI.com and www.downloadPOI.com sites in the download section that are compatible to the current GPS systems and downloadable. Further systems, other than own systems shall mean all other sites – available pursuant to cooperation and contractual connections – from where downloads, download links, advertisement or direct display may be realized (collective and specific). The number, access to, and the specifications of such further systems are subject to constant changes.

NaviPro US undertakes no liability for damage caused by the potential mistakes contained by the advertisements or by failing to release an advertisement (in other words NaviPro US is not liable for lost profit). The advertiser is liable for the content of the information appearing in the advertisement. NaviPro US undertakes no liability for events obstructing performance that are caused by the special characteristics of the Internet, particularly the traffic, technical or other circumstances typical of the Internet network and are produced by the operations of the Internet and/or the GPS technology. Depending on how detailed the maps are the coordinates of POIs maybe displayed as inaccessible locations. Please, use the most detailed map in all cases. If there is no house number or map with streets detailed on it at the location provided, please provide us with your exact geo-coordinates. If we do not receive them we will place the coordinates of the spot adjusting to the nearest address that can be geo-coordinated. Data display, as our service, within the local (and possibly international) database of NaviPro will be performed in this case too, independently from the fact how detailed maps available are supplied in the certain area by solely third persons. (companies not involved in ours). The display will be performed according to the geo-data obtained as described above. The geo-data sent us can be modified, at any time, by the clients during the period of subscription.

The amount of the claim, which may be brought by the advertiser against NaviPro US is limited to the amount of the advertisement fee in all cases. NaviPro US bears no liability whatsoever for force majeure events (force majeure shall particularly mean strikes, natural disasters and other insurmountable forces).

NaviPro US shall publish the ordered advertisement in exchange for the advertisement fee currently in effect. The advertisement fees include technical costs regularly arising in the course of publishing advertisements, but do not include the expenses of implementing major amendments requested by the advertiser subsequently. Such expenses must be borne by the advertiser in addition to the advertisement fee. The GSP fee of NaviPro is a subscription fee, thus the order will create a payment obligation and NaviPro`s service will be performed after receiving the purchase price. The subscription fee shall be paid by online bank card transaction or by wire transfer against the invoice issued by NaviPro US.
Unless otherwise provided by the parties, in case of late payment of the advertisement fee NaviPro US will charge late interest at the rate of 12% (twelve percent) per annum and shift the costs of recovering its fee to the client as well.
NaviPro US retains the right to set the advertisement fee in deviation of the fee chart, in a lower amount in case of promotions or quantity discounts.

This order and the data form typically are applicable for single registration; in case of mass registration and registration by multiple gps points they may only be used to identify the contracting party, state the predetermined conditions and the fact that the order was made. In case of mass registration, a separate data disclosure document may set forth the scope of the Displayable Data, or an electronic list (xls, txt etc. formats) provided by the Customer may contain the mass data, which is attached as the appendix of the agreement in accordance with the data negotiated by NaviPro.
